These Terms of Service ("Terms") govern access to and use of the OpenAxis Supply online store and the purchase of products from OpenAxis Supply ("OpenAxis Supply," "we," "us," or "our"). By accessing the store, submitting an order, or purchasing a product, you agree to these Terms and the policies incorporated into them.

Store Scope

OpenAxis Supply sells commercial door hardware and select access-control products. We do not sell doors or frames, provide installation, perform field verification, complete electrical work, program access-control systems, conduct code reviews, or provide construction services. Information on the store is provided to support product purchasing and is not a substitute for advice from a qualified architect, engineer, code professional, locksmith, installer, electrician, access-control professional, or other appropriate provider.

Eligibility and Business Authority

You must be legally capable of entering into a binding agreement to use the store or make a purchase. If you place an order for a business or other organization, you represent that you have authority to act for that organization and bind it to these Terms.

Product Selection and Compatibility

Commercial door hardware and access-control products are specification-sensitive. Before ordering, you are responsible for confirming the manufacturer, model, SKU, function, handing, dimensions, finish, voltage, keying, quantity, unit of sale, mounting requirements, included components, and compatibility with existing hardware, applications, access-control systems, and project requirements.

By submitting an order, you acknowledge that you have reviewed the selected products and applicable product restrictions. OpenAxis Supply may request additional information or written confirmation before releasing an order.

Product Information

We make reasonable efforts to present product descriptions, images, specifications, availability, and pricing accurately. Manufacturers and suppliers may revise products, packaging, specifications, lead times, or included components without notice. Images may be representative, and colors or finishes can appear differently depending on lighting, display settings, production variation, or manufacturer standards.

If store content contains a material error, we may correct the error, request confirmation, cancel an affected order, or issue a refund as appropriate. Product-specific information disclosed on the product page, quote, order confirmation, invoice, or written approval forms part of the agreement for that product.

Orders and Acceptance

An order submission is an offer to purchase and does not require us to accept or fulfill the order. We may review, place on hold, limit, reject, or cancel an order for reasons including product availability, pricing or description errors, suspected fraud, payment issues, shipping restrictions, supplier requirements, or incomplete or conflicting product information.

An automated order confirmation acknowledges receipt of the order. It does not guarantee product availability, shipment timing, or final acceptance. Some orders may be fulfilled in multiple shipments or directly by a distributor or manufacturer.

Prices Payment and Taxes

Prices are shown in the currency displayed by the store and may change before an order is submitted. You authorize us and our payment providers to charge the payment method selected at checkout for the order total and any amounts you approve in connection with an order change.

Applicable taxes, shipping, freight, and handling charges may be added at checkout, on a quote, or after review when a product requires a shipping method that cannot be calculated automatically. You are responsible for taxes, duties, fees, or charges imposed on the transaction unless applicable law or written order terms state otherwise.

Shipping and Delivery

Shipping and delivery are governed by our Shipping Policy. Shipping and delivery dates are estimates unless we expressly agree otherwise in writing. Supplier availability, production, carrier conditions, weather, address issues, and other events can affect timing.

Returns Refunds and Cancellations

Returns, refunds, order changes, and cancellations are governed by our Return and Refund Policy, including its authorization requirements, return windows, restocking fees, non-returnable product categories, inspection requirements, and warranty procedures.

Manufacturer Warranties

Products may be covered by warranties provided by their manufacturers. The applicable manufacturer's written warranty controls its coverage, exclusions, documentation requirements, inspection process, remedy, and timing. Unless a written manufacturer warranty states otherwise, warranty remedies generally do not include labor, removal, reinstallation, programming, troubleshooting, field service, loss of use, project delay, or incidental or consequential costs.

Acceptable Use

You may not use the store or its content to violate law, infringe another party's rights, submit false or misleading information, transmit harmful code, interfere with store operation or security, scrape or extract content through unauthorized automated means, impersonate another person, or engage in fraud or abusive conduct.

Intellectual Property

The store's original content, organization, graphics, text, and branding are owned by or licensed to OpenAxis Supply and are protected by applicable intellectual-property laws. Manufacturer names, product names, logos, and trademarks belong to their respective owners and are used for identification and product-description purposes.

Third Party Services and Links

The store relies on Shopify and may use third-party services for payments, shipping, analytics, communications, or other functions. Third-party websites and services are governed by their own terms and policies. We are not responsible for content or services controlled by third parties, except to the extent required by law.

Disclaimers

Except for express written warranties and rights that cannot legally be excluded, the store and its content are provided on an "as available" basis. We do not warrant that the store will always be uninterrupted, error-free, or free from harmful components. Product performance depends on proper selection, compatibility, storage, installation, configuration, use, and maintenance.

Nothing in these Terms excludes or limits a manufacturer's written warranty or any consumer right, remedy, guarantee, or liability that cannot legally be waived.

Limitation of Liability

To the maximum extent permitted by law, OpenAxis Supply will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of use, revenue, profits, data, business opportunity, or project time, arising from the store, an order, or a product.

To the maximum extent permitted by law, our aggregate liability arising from a product or order will not exceed the amount paid to OpenAxis Supply for the product or order giving rise to the claim. These limitations do not apply where prohibited by law.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless OpenAxis Supply from third-party claims, damages, and reasonable costs arising from your unlawful use of the store, your violation of these Terms, or your infringement of another party's rights. This section does not apply to the extent a claim results from our own unlawful conduct.

Privacy

Our collection and use of personal information are described in our Privacy Policy.

Suspension and Termination

We may restrict or terminate access to the store when reasonably necessary to address fraud, security threats, unlawful activity, misuse, or a material violation of these Terms. Provisions that by their nature should survive termination will continue to apply.

Changes to These Terms

We may update these Terms by posting a revised version. The version in effect when an order is placed applies to that order unless applicable law requires otherwise. Continued use of the store after an update means the updated Terms apply to later use.

General Terms

If any provision is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law. A failure to enforce a provision is not a waiver. These Terms and the policies incorporated into them constitute the agreement governing use of the store and purchases from OpenAxis Supply, except for additional terms stated in an accepted quote, invoice, order confirmation, or written agreement.
